The Company: Spencer Legal is a ‘captive’ law firm located in Manhattan. We currently practice corporate, tax and trusts and estates, primarily for a single client. We manage our matters to ensure truly part-time hours without sacrificing interesting and stimulating work.
We combine the best qualities of in-house and law firm practice. Substantive legal work is done within the firm rather than outsourced. Billable hours are not tracked by our attorneys, as our arrangement is on a value-billing basis established over time and trust with our primary client.
The Position:
Spencer Legal is looking for a corporate generalist attorney with experience in mergers and acquisitions. The position includes negotiating and drafting core and ancillary agreements, assisting with due diligence, entity formation, filings, and closings, etc. The ideal candidate enjoys working on a variety of matters, both as the sole contact and substantive attorney, or as the point person for a collaborative team. Some experience in FI M&A (particularly insurance-related) is helpful but not required.
Part-Time Description:
This position is truly part-time, strictly enforced. Clients do not have cell contact information and are specifically instructed that any off-hours questions can either wait until scheduled hours (listed above) or be directed to the managing partner. You will be provided with a company computer and phone-line, as well as home internet allowance.
Responsibilities:
- Negotiate and draft merger and other corporate agreements and related documents
- Work with clients on pre-merger discussions and structuring merger
- Coordinate and perform legal due diligence on potential M&A targets
- Draft and review documents relating to security interests/liens and loans
- Coordinate specialists and schedules in M&A process
- Work with other attorneys as needed on various corporate legal matter

- Minimum 2-3 years of Biglaw M&A/Corporate Experience
